Insurance requirements in real estate documents are sometimes glossed over by transactional lawyers. However, this language is critical to the indemnification and other risk allocation goals of the parties, and miscommunications between clients regarding insurance requirements can lead to delays in closing dates and other deadlines. This program will walk attendees through common insurance issues that could arise in a hypothetical “soup to nuts” commercial transaction in which a property owner negotiates a commercial lease with a new tenant, and then turns around to finance the property with a bank. Panelists from an insurance agency will provide an insider’s perspective on key provisions and the underwriting process, and a real estate litigation attorney will advise on traps for the unwary. Taxes for Tax-Exempt Organizations is the fifth in our six-part Fundamentals Series on public charities and private foundations. The series will provide a basic overview geared toward new attorneys and attorneys new to the practice area on forming, operating and dissolving a tax-exempt organization in Massachusetts. The Taxes for Tax-Exempt Organizations program will cover unrelated business income tax (UBIT); Massachusetts-specific taxes; IRS intermediate sanctions rules and excise taxes; and executive compensation excise taxes. These cases address far-reaching issues, include confidentiality and non-disparagement provisions, micro bargaining units, the type of damages available for labor law violations, and third-party access to employers’ worksites. The European Unified Patent Court (UPC) is about to take off with the beginning of a sunrise period starting in March 2023, leading up to the opening of the court in June 2023. Litigation in the UPC will change patent litigation in Europe from an atomistic (country-by-country) approach to a single procedure covering most of the important European markets. The presentation will give US lawyers insight into the need-to-know about this new system, enable the audience to understand the most important differences to US litigation and provide them with the necessary background on what their clients should do now concerning their European Patents in order to prevent surprises.
